1. Acceptance of Terms

By accessing and using Niftytheme ("we," "our," or "us"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

These Terms of Service ("Terms") govern your use of our website and marketplace, including the purchase and use of digital products.

2. Description of Services

Track A — Marketplace (Self-Serve)

Niftytheme operates an online marketplace where customers can browse, preview, and purchase digital products including WHMCS themes, WHMCS modules, and HTML templates. Products are delivered instantly after purchase through the customer panel.

Track B — Custom Products

For customers requiring tailored digital products, we offer custom WHMCS themes and modules built to specific requirements. All custom work results in a delivered, installable software product governed by a separate product agreement. The same license terms in Section 5 apply.

3. Purchases and Payments

Products are sold directly through this website. Payments are processed securely by Paddle (paddle.com), who acts as the Merchant of Record for all transactions. By purchasing, customers agree to Paddle's terms: https://www.paddle.com/legal/terms.

Upon successful payment:

• A unique license key is generated and assigned to your account.
• The purchased product becomes available in your customer panel under "Downloads."
• You will receive an automated email confirmation.

4. Custom Product Orders

4.1 Enquiries

You can reach us via our contact form or email to discuss custom product requirements.

4.2 Quotations

After consultation, we provide project quotations based on your specific requirements and scope of work.

4.3 Product Agreements

All custom product orders are conducted under separate written agreements that define the deliverable, timeline, and payment terms. These Terms apply alongside any such agreement.

5. Intellectual Property & License Grant

5.1 Ownership

All products, designs, code, and content created by Niftytheme remain our intellectual property and are protected by copyright and applicable IP laws.

5.2 License Grant for Purchased Products

Upon purchase of a paid product, Niftytheme grants you a non-exclusive, non-transferable, perpetual license to use the product subject to the following conditions:

• Single-domain license: Each purchase covers installation on one (1) domain or WHMCS instance, unless a multi-domain license is explicitly purchased.
• Permitted: Installing, customizing, and using the product for your own business or your clients' businesses, modifying source files for your own use.
• Not permitted: Redistributing, reselling, sub-licensing, or sharing the product files with any third party; removing Niftytheme copyright notices from the source code; using the product to create a competing product for sale.

5.3 Free Products

Free products are provided under the same license terms as paid products unless otherwise stated on the product page. Free does not mean unlicensed — the same usage restrictions apply.

5.4 License Verification

Purchased products include a license verification system that periodically contacts Niftytheme servers to validate your license key and domain. This is a condition of the license grant. Attempting to bypass or disable this system constitutes a breach of these Terms and may result in account suspension.

5.5 License Revocation

Niftytheme reserves the right to revoke a license if: (a) a refund is issued for the purchase, (b) the Terms are violated, or (c) the license key is found to be used fraudulently.

5.6 Usage Restrictions

You may not copy, reproduce, or distribute our products or website content without prior written permission.

6. Account Registration & Security

6.1 Account Creation

To purchase products or access the customer panel, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep it updated.

6.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately at [email protected] if you suspect unauthorized access to your account. Niftytheme is not liable for any loss resulting from unauthorized use of your account.

6.3 Account Suspension

Niftytheme reserves the right to suspend or permanently terminate accounts that: violate these Terms, engage in fraudulent activity, attempt to abuse the licensing system, or are found sharing purchased products with third parties. Suspended accounts lose access to the customer panel, downloads, and support.

7. Payments & Billing

7.1 Payment Processing

All payments are processed by Paddle (paddle.com), who acts as the Merchant of Record for all Niftytheme transactions. By completing a purchase, you also agree to Paddle's Terms of Service and Privacy Policy. Niftytheme does not store your payment card details.

7.2 Pricing & Currency

All prices are listed in USD unless otherwise stated. Applicable taxes (VAT, GST, etc.) are calculated and collected by Paddle at checkout based on your location.

7.3 Refunds

Refunds are handled in accordance with our Refund Policy, which is incorporated into these Terms by reference. Issuing a refund results in automatic revocation of the associated license key.

8. Support & Ticketing

8.1 Support Included

All paid product purchases include access to our support ticketing system for issues directly related to the purchased product (installation issues, bugs, compatibility with supported WHMCS versions).

8.2 Support Scope

Support covers: bug reports, installation guidance, and general usage questions. Support does not cover: custom modifications beyond the product's documented features, issues caused by third-party plugins or server configurations, or WHMCS core issues unrelated to our product.

8.3 Response Times

We aim to respond to all support tickets within 24–48 business hours. Response times may vary based on ticket volume and complexity. Support is available Sunday–Thursday, 9:00 AM – 6:00 PM (EET, Cairo time).

8.4 Free Products

Free products are provided without any guaranteed support. We may assist at our discretion but are under no obligation to do so.

9. Acceptable Use Policy

You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use our services to transmit harmful, offensive, or illegal content
• Attempt to gain unauthorized access to our systems
• Interfere with the proper functioning of our services
• Use our services for spam or unsolicited communications
• Violate any applicable laws or regulations

10. Service Availability

10.1 Website Availability

We strive to maintain high website availability but cannot guarantee uninterrupted access. We reserve the right to modify or discontinue website features with reasonable notice.

11. Limitation of Liability

To the maximum extent permitted by law, Niftytheme shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Our total liability for any claim arising from a product purchase shall not exceed the amount paid by the customer for that specific product.

Since Paddle acts as Merchant of Record, payment disputes and chargebacks are subject to Paddle's policies. Niftytheme's liability in payment disputes is limited accordingly.

We are not liable for any damages resulting from the use of our products in your own projects without proper licensing or development agreements.

12. Warranty and Disclaimers

12.1 Service Warranty

We provide our services "as is" and "as available" without warranties of any kind, either express or implied.

12.2 Third-Party Services

Our services may integrate with third-party services (such as WHMCS). We are not responsible for the availability or functionality of these third-party services.

13. Indemnification

You agree to indemnify and hold harmless Niftytheme from any claims, damages, losses, or expenses arising from your use of our services or violation of these Terms.

14. Termination and Access

We may terminate or suspend access to our website immediately, without prior notice, for any reason, including breach of these Terms. Termination results in revocation of all active licenses and loss of access to the customer panel.

Upon termination, your right to access our website will cease immediately. Any consultation services or development agreements will be governed by their respective terms.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Egypt. Any disputes arising from these Terms shall be resolved through binding arbitration or in the courts of Egypt.

16. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website. Your continued use of our services constitutes acceptance of the modified Terms.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
